Are Electronic Contracts and Digital Signatures Legally Valid in Pakistan?
Pakistani businesses increasingly sign agreements without anyone being in the same room — a scanned PDF returned by email, a document signed through an e-signature platform, terms accepted by clicking a box. This guide explains what the Electronic Transactions Ordinance, 2002 actually recognises, the difference between an ordinary electronic signature and an advanced electronic signature, which documents still cannot be signed electronically, and what that means in practice if a dispute reaches court.

What the Ordinance Actually Recognises

The Electronic Transactions Ordinance, 2002 was promulgated on 11 September 2002 to give legal recognition to documents, records, information, communications and transactions in electronic form, and to provide for the accreditation of certification service providers. It was drawn up in line with the UNCITRAL Model Law on Electronic Signatures, and made Pakistan one of the earliest countries in the region to recognise electronic signatures.
The practical effect is significant. An opposing party cannot succeed simply by arguing that an agreement is unenforceable because it exists only as a digital file and was never signed in ink.
The Distinction That Actually Matters in a Dispute
Most discussion of this subject stops at “electronic signatures are valid.” That is true but incomplete. The Ordinance draws a distinction between an ordinary electronic signature and an advanced electronic signature, and the difference only becomes visible when a document is challenged.
Electronic Signature
- Satisfies a statutory signature requirement under Section 7
- May be proved in any manner under Section 8
- No presumption attaches automatically
- The burden of establishing authenticity sits with the party relying on it
- Adequate for many routine commercial documents
Advanced Electronic Signature

What the Ordinance Does Not Change
A frequent misunderstanding is that the Ordinance created a separate law of electronic contracts. It did not. It addresses the form in which a contract may exist and be signed — not the substance of what makes an agreement binding.
Contract formation continues to be governed by the Contract Act, 1872. An electronic agreement must still satisfy the same requirements as any other: a proposal and acceptance, competent parties, free consent, lawful consideration and a lawful object, and terms certain enough to be enforced.
Documents That Generally Cannot Be Signed Electronically
Recognition under the Ordinance is broad but not universal. Certain categories of instrument are understood to fall outside electronic execution, and attempting to sign them electronically can leave you holding a document that does not do what you intended.
Negotiable Instruments
Cheques, promissory notes and bills of exchange, which are governed by their own statutory regime.

Electronic Documents as Evidence
Recognition would be of limited use if the document could not be put before a court. The Ordinance addressed this directly: Section 29 amended the Qanun-e-Shahadat Order, 1984 to accommodate electronic documents, so that admissibility is dealt with within the general law of evidence rather than left uncertain.
This is why the manner of signing matters so much in practice. Admissibility gets the document in front of the court; the presumption attaching to an advanced electronic signature affects how much work you then have to do to establish that it is genuine.
Certification Service Providers and the Accreditation Council
Advanced electronic signatures depend on certificates issued by accredited providers. The Ordinance established the Electronic Certification Accreditation Council under Section 18 to accredit certification service providers and oversee that regime.
For a business, the practical question is not the regulatory architecture but a simpler one: if this document were challenged two years from now, what would we be able to show about who signed it, when, and whether it has been altered since?

Common Mistakes With Electronic Agreements
Assuming Recognition Solves Everything
Electronic execution addresses form. It does not make an unclear, incomplete or one-sided agreement enforceable.
Discarding the Audit Trail
Businesses often keep only the final signed file and delete the surrounding record — precisely the material that would establish authenticity if challenged.
Using Electronic Signature on an Excluded Instrument
Signing a document electronically where the law requires a different mode of execution can leave the instrument ineffective for its purpose.
Overlooking Stamp Duty and Registration
Where a document attracts stamp duty or requires registration, those obligations are unaffected by the format in which it was signed.
Not Verifying Signing Authority
An electronic signature applied by someone without authority to bind the company creates the same problem as an unauthorised wet-ink signature.
Treating All E-Signatures as Equivalent
A typed name at the foot of an email and a certificate-backed advanced electronic signature are not equivalent when the document is contested.

Are electronic signatures legally valid in Pakistan?
Yes. Under Section 7 of the Electronic Transactions Ordinance, 2002, a requirement under any law for a signature is deemed satisfied where an electronic signature or advanced electronic signature is applied.
Is a contract signed by email binding in Pakistan?
It can be. Section 3 of the Ordinance provides that a document is not denied legal effect merely because it is in electronic form. The agreement must still satisfy the ordinary requirements of contract formation under the Contract Act, 1872 — offer, acceptance, competent parties, free consent, lawful consideration and certainty of terms.
What is the difference between an electronic signature and an advanced electronic signature?
